Terms of Service

1. Agreement to Terms

By accessing or using the Noxuz website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

Noxuz provides custom software development services, including but not limited to SaaS development, ecommerce development, UI/UX design, API development, and DevOps services. The specific scope of work for each engagement is defined in a separate project agreement.

3. Project Agreements

Each project is governed by a separate project agreement that outlines the scope, timeline, deliverables, and pricing. These project agreements are incorporated into and subject to these Terms of Service.

4. Pricing & Payment

Payment terms:

• All engagements are fixed-price unless otherwise specified in the project agreement.
• Payment terms are defined in the project agreement, typically with a deposit due before work begins.
• Late payments may incur interest at a rate of 1.5% per month.

5. Intellectual Property

Upon full payment, all intellectual property rights in the deliverables are transferred to the client, including:

• Source code and associated documentation.
• Design files and assets created for the project.
• Any custom configurations or integrations.

Noxuz retains the right to use general knowledge, skills, and experience gained during the project, as well as any pre-existing tools or libraries.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives the termination of the project agreement.

7. Warranties & Liability

Noxuz warrants that services will be performed in a professional and workmanlike manner. Our total liability for any claim arising from our services shall not exceed the total fees paid for the specific project in question.

8. Termination

Either party may terminate a project agreement with 14 days' written notice. In the event of termination, the client shall pay for all work completed up to the termination date.

9. Governing Law

These terms are governed by the laws of the Republic of Serbia. Any disputes shall be resolved in the courts of Čačak, Serbia.

10. Changes to Terms

We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with an updated revision date.
